Registration of changes in the constituent documents

  • change (increase or decrease) the amount of authorized capital
  • change of the legal address of the Company;
  • changes in the name of the company;
  • changes in the structure of the Charter;
  • other changes and amendments to the constituent documents;
  • registration of branches, registration of branches and subdivisions in the tax bodies and in extra-budgetary funds.

 

The process of registration of amendments in the constituent documents and the amendments not related to amendments to the constituent documents of Company includes the following services:

  • payment of state duty and notary costs;
  • preparation a set of documents for submission to the tax authority;
  • assist in the preparation and submission of the tax authority for state registration of amendments in the constituent documents ;
  • obtaining certificate  (recording sheet) on entry into the Unified State Register of Legal Entities;
  • obtaining an extract from the Unified State Register of Legal Entities;
  • obtaining information letter about assigning new codes of Federal Statistic Service (if applicable);
  • registration of amendments in the state budget funds (State Pension Fund, Social Security Fund, if applicable).

 

Required documents (uncertified copies):

  • Certificate of state registration of the company;
  • Certificate of making the company in the Unified State Register of Legal Entities (if the company is registered before July 1, 2002);
  • Charter in the latest edition (with all the amendments and additions);
  • Memorandum (together with all amendments and supplements);
  • Certificate of registration with the tax inspectorate at the location;
  • Order (participant's decision) on the appointment of the General Director;
  • Copy of passport of General Director;
  • Copies of passports newly appointed Manager / General Director / participants (if applicable).
